:agree:

The past three years I have rode with NESBA has been unbelivable, The people I have met, the food consumed at the MEAT and greets, the RA Fundraisers, etc, etc, etc,. I hope for the NE sake that the N2 TD organization takes off and is able to aid to the cause of those that have been mislead.

I hope the N2 TD organization can get a positive vibe going, a good shot in the arm will help the mind frame get right. I have jumped on the negative nancy wagon a couple of times and felt kinda crappy after I realized what I did. With that being said, I hope the animosity can subside and eventually fade into black.

I hope Mike55 and friend's can get their money situation fixed. :)

I seen the writing on the wall before it all fell apart and decided to hang back and see what was gonna happen. My off road mishap in September may have been a blessing in disquise as well.

Good luck to those who join whatever new TD org they desire. Head on down to the South once in a while and see some ole NESBA friends.

Rob, thank you so much for all your hard work getting to this point. Same goes to the others who are working behind the scenes. We look forward to great things to come.

Things got a little bumpy on here and I hope most folks get their issues resolved. Here's to hoping it can all be solved with a twist of the throttle. NESBA always went places that had good runoff, so I'm glad we didn't hit a wall. Even the best riders go off track.

Rob,
You will do well in this venture. And it will be great to watch you and others transform this into a better org.

I have no horse in this race and some of you know me and some dont. I ran w/ nesba for 5 yrs, and wera for 3,(persuaded other motorcycle related interest in 12) thru that i had some great learning and friendships. Rob being one of them, i will echo some of the comments he is more then capable and up to the task. Shoot this almost makes me think i should find another track bike :)

By its nature, a nonprofit business is a charitable endeavor, managed by a board of supposedly disinterested citizens for the betterment of the community. A nonprofit business is not owned by any one individual or group of individuals. The IRS prohibits any board member or employee from receiving "profits" from a nonprofit organization. There are stiff penalties for doing so. That said, you can close down your nonprofit organization.

This process isn't am easy one and if the steps are not executed properly the Directors could be held liable. Accuracy is important.

Closing the Nonprofit....pay particularly close attention to Step 7 in its entirety.

Step 1 Hold a board meeting for the purpose of officially closing down the organization. A legal resolution must be passed by the board of directors closing the charity before you can legally begin taking the steps to cease operations. Arrange to pay all final bills, debts or fees and for closing bank accounts, stopping insurance contracts and legal agreements. Continue your directors' and officers' insurance, however, for at least 90 days after closing is complete.

Step 2 Designate another nonprofit organization to receive the proceeds of any sale of materials, assets or facilities after debts and staff wages are paid. Neither the board, nor the staff or any other person may receive the "profits" derived from the sale of the organization's assets. You cannot "sell" a nonprofit organization as you would a business. You can only give assets to another nonprofit organization---not to staff or volunteers or board members.

Step 3 Inform the IRS and the state entity that licenses your facility (if any) that you will be surrendering your license and inform the secretary of state or comptroller that you will be closing the nonprofit corporation. They will provide you with instructions for the paperwork to file with their respective organizations.

Step 4 Close all programs or transfer the responsibility for them (and any program-specific funding, assets or equipment) to another nonprofit organization able to continue the work of the program.

Step 5 Lay off all nonessential staff except those conducting the shutdown. The board may pay the balances due to any contract employees and provide reasonable severance pay as previously agreed in employee contracts. Consult your agency's nonprofit attorney before making any cash disbursements to employees not covered in contract agreements to avoid violating IRS rules against staff receiving "profits" from the closure of the organization.

Step 6 Sell equipment, property and assets or transfer ownership to the designated nonprofit organization. If the nonprofit owns a for-profit subsidiary, the nonprofit must sell the for-profit, then use the money to settle final debts or give it to the nonprofit organization(s) designated by the board of directors to receive the proceeds of sale and closure of the organization.

Step 7 Return any unspent grant funds or donations that have been designated for a specific purpose to the original donor or funding agency. Include any final reports that agency may require. If transferring a program and funding to another agency to continue, the donor must be informed and permission obtained for the transfer of responsibility to the new charity.

Step 8 Provide for any mandatory record storage for the period of time required by your licensing agency, the IRS or your contracted partners. Designate a contact person to be responsible for producing such records if required by the agency during that time period. Arrange for the destruction of sensitive materials covered by confidentiality regulations at the time of closure or after the required time period for retaining records

That's a lot of work for someone to do.
Thanks for stopping by Monte..........

I spend my entire summer working sun up until sun down, the whole time wondering if and when I'm ever going to get paid for my work. Through it I've learned that 1) if you don't make it a point to remain relevant to people, then...we'll...you won't be relevant, and 2) when someone calls to offer the money they owe you, you'd better drop what you're doing and go get it immediately. Even as we speak I'm supposed to be in Daytona at bikeweek, but I had a customer call at the last minute with a request and another who offered to pay me what has been owed for 5 months, so I cancelled 12 hours in advance. I still gave my friends my part of the accommodation and gas money because they had it budgeted into the trip. They didn't want to take it but It's just appropriate for me to do. My time at the track is pretty much my only other release from from the daily madness throughout the year because I refuse to become an addict (well...except for my motorcycle addiction) like a lot of the people in my trade are. When my "fun release" time turns into the same as my daily work situation, it's not just an inconvenience. If you don't want to hear it then when you see my name at the top of the post then just scroll right past it. Technology is cool like that. Am I being annoying? #@ck yes I am. I used to not be annoying in situations like this and only ended up enabling people. As soon as this is resolved I'll go away quietly, trust me (I can hear the applause already). I sincerely do hope that you have a safe and fruitful track season though.

MIKE55,

You're quite welcome. As you know, the track day scene is well behind me in my review mirror for a couple of years now. Fun times for sure, but lots and lots of work as well, most people have no idea. I am impressed Bob has been able to do this as long as he has, it's damn hard work and he was a pioneer in this sport. He also surrounded himself with some good people, over the years I had the privilege of having a lot of fun with some of them.

Back to the reason for my initial post, that list of stuff to do is pretty daunting and folks should appreciate it's certainly not something one can do overnight and it has to be done properly. Selling a regular company, while not "easy" per se, isn't rocket science. I know, we sold four of them. A NPO on the other hand looks like a lot of work with compliance issues, Bob's a very smart guy, he'll do it right.

Best of luck to everyone involved as well as to the new guys who are stepping up.

I agree. I'm really not an unreasonable person but like I said, I literally deal with this every day. Unfortunately It was probably short sighted for me to expect anything different. Ugh. Trust me, I can't wait to get a resolve and ride off into the sunset (pun totally intended) just as much as people can't wait for me to. I was always the guy who would just sit back and wait in situations live this until I realized that I was getting nowhere like that. I'll be in my way soon enough though : )

The part you don't seem to get is you are talking to us, your peers, not "them". So why annoy us? We are on YOUR side. We all have a stake in this, some for a lot more than I think you understand.

But...you're not annoying anyone that can actually HELP...You're basically talking to a WALL here.

So just MAYBE it would be pertinent to wait...your first 3 posts was a complaint....past 3 and you're just whining and whining and whining....Once some structure's in place and Bob/Rob and their peeps have a point to breath..they'll probably post up what their plan is and who/what to contact and do about the process.

Now..you're just establishing yourself as an annoying asshole and will probably alienate yourself from others in the new org based on this history by those who remember...they'll meet you in person..you'll mention your Mike55 and they'll walk the other way.

Ask Blue Ninja, TeamCK16, Casper, and JohnBoy.

I mean Christ! I left last night..went to the gym..came home..showered, went to dinner, went to Fantasies in Baltimore and saw porn star Tori Black feature dance there with the girlfriend...then came home and engaged in 15 rounds of mattress rodeo with her...slept in and come back to find you are STILL bitching on the bow of a ship that has no captain right now.

Or in Military terms, wait for the Change of command ceremony to be over, let the new commander move his flag into the desk, let him get a little settled in his chair..THEN you can go in his office and be Frank Burns.

I think people are trying to say take a break from posting because there is a group of people working really hard to come up with a resolution to the situation and 1 post or 1000 posts at this point is not going to change the outcome one bit. The people working on this know that the money people paid was worked for really hard and they will be doing their best to preserve that to the best of their ability. I know the folks working on your behalf and believe me if there is something that can be done to make everyone happy, they will do it. If not, it will not be for a lack of effort or a lack of people posting on the board. All we can really do is offer up our support to help out in any way possible. Anything short of offering our help and support is wasted energy. I do hope you get a resolution that will satisfy. I also hope that you will continue to support the club with your business once this is all sorted out. I understand if you take your business elsewhere as a result but you will not find a better group of members out there. That I can guarantee!

A few people actually get it. You don't need to worry about meeting me because I'll be on my way asap and hopefully everyone will be able to salvage the season : )

Find your local funeral home, ask if you can visit their lobby where they keep their clients between viewings and have a conversation about this issue with them.

Right now, that's probably an audience that will listen and be just as useful as complaining and complaining, and complaining here.

The best part of the clients at the funeral home...they'll NEVER get tired of hearing your complaints.
